Keysight to Divest Spirent Ethernet Business to Satisfy Acquisition Conditions

Keysight Technologies is advancing regulatory clearances for its proposed acquisition of Spirent Communications. Spirent shareholders approved the transaction on May 22, 2024. To address regulatory requirements, Keysight is preparing to divest Spirent’s high-speed ethernet and network security business lines through a competitive auction, aiming for completion in tandem with the acquisition’s closure.

Keysight has engaged with the State Administration for Market Regulation (SAMR) of China, filing for clearance under the Anti-Monopoly Law on November 25, 2024. Regulatory approvals have also been granted by the French Ministry for the Economy, the German Federal Ministry for Economic Affairs, and the UK government under national security provisions. These developments satisfy several key conditions outlined in the acquisition agreement.

Keysight said the+ acquisition remains on track to close in the first half of Keysight’s fiscal year, ending April 30, 2025. The companies continue to work through pending regulatory reviews and have committed to providing updates as necessary.
