Mavenir completed a major recapitalization that removes more than $1.3 billion in debt and secures $300 million in new senior financing, significantly strengthening its balance sheet and positioning the company for growth. The transaction, supported by existing lenders, also includes a smaller subordinated facility provided by Siris and participating lenders.

The restructuring reduces net leverage and improves liquidity, giving Mavenir greater financial stability as it pursues its cloud-native and AI-enabled network strategy. Siris remains the controlling shareholder and will continue to play an active role in guiding the company’s next phase of expansion.

Mavenir, headquartered in Richardson, Texas, supplies cloud-native network infrastructure to service providers globally, with a portfolio spanning 5G core, Open RAN, and AI-driven automation. The company said the recapitalization will allow it to accelerate innovation and sustain long-term success in the increasingly software-defined telecom landscape.

  • Transaction eliminates $1.3 billion of existing debt
  • Secures $300 million of new senior financing plus a smaller subordinated facility
  • Substantially reduces net leverage and strengthens liquidity
  • Siris remains controlling shareholder with lender support
  • Positions Mavenir for long-term growth in cloud-native and AI-enabled networks

“Mavenir has long been at the forefront of cloud transformation, and with a strengthened financial foundation, we are even better positioned to continue innovating for our global customer base,” said Pardeep Kohli, President and CEO of Mavenir.

🌐 Why it Matters: This restructuring provides Mavenir with critical financial breathing room at a time when telecom operators are under pressure to modernize networks for 5G, Open RAN, and AI-driven automation. By reducing debt and securing new funding, Mavenir strengthens its ability to compete against larger rivals and drive adoption of cloud-native infrastructure in next-generation networks.

🌐 Company Background: Mavenir, headquartered in Richardson, Texas, is a privately held telecommunications software company majority owned by Siris Capital. Formed in 2017 through the merger of Xura, Mitel Mobility, and Ranzure, it is led by President and CEO Pardeep Kohli. The company develops cloud‑native, AI‑enabled mobile network software spanning IMS core, packet core, messaging, Open RAN/vRAN, edge compute, private networks, and analytics platforms under its MAVcore, MAVair, MAVedge, MAVapps, and MAVscale product lines. Mavenir serves more than 300 communications service providers across over 120 countries, supporting networks that cover more than half of the world’s mobile subscribers. Key milestones include the acquisitions of Aquto, Argyle Data, and ip.access, a $155 million strategic capital raise in 2022, and a comprehensive recapitalization described above..
